“the M&A Plan”—APIL Law Auditorium and Summit Forum 【Academic Lecture sponsored by CR Snow】

  The Lecture themed “the M&A Plan” co-held by China Resource Snow( CR Snow) and APIL took place in the Lecture Hall(Room 601) of Min De Law Building in Octobor 31th.  Zhang Yuantang, the manager of legal department of CR Snow, a brewery famous for outstanding M&A cases, delivered a speech, with Professor Shi Jiayou being the commenter and Professor Yang Dong the host.

  Lawyer Zhang first stressed the importance of M&A plan, for it is crucial for the success of an M&A case as well as its risk prevention.  He pointed out three main goals of a plan: more feasible, more saving, and safer.  However, the goal of more saving might be hard for ordinary lawyers; since it requires the knowledge of finance, tax and the way business runs.  Therefore, It is important for those who intent to be a good M&A lawyers to prepare knowledge of these fields in advance.  The humorous remarks and examples given by lawyer Zhang attracted audience.

  Later, lawyer Zhang introduced basic knowledge of M&A.  M&A basically can be divided into two ways—equity merger and asset acquisition.  According to Zhang, The equity merger is more advantageous for a company than the asset acquisition for several reasons.

  At last, Professor Shi Jiayou commented on the lecture.  He highlighted the utilitarian aspect of the lecture, praising it to be useful and practical, which was also reflected in his newly published book, The Asset movement of Company: M&A Plan and Procedures. From his perspective, Chinese law Schools should keep a open mind towards legal practice.  Deeper communication followed between Professor Shi and Lawyer Zhang on some specific issues which is related to both academic and practical concerns. The lecture turned out to be a success.
